Article 1 General Provisions
1.1 These Terms and Conditions, hereinafter conditions apply to all agreements, offers and orders DirectHelp.nl hereinafter Direct Help.
1.2 In these conditions Direct Help the company is referred to as "Seller" and the other party as the Purchaser.
1.3 Deviations from the conditions are only binding if confirmed in writing by direct help. The other conditions remain in full force.
1.4 By placing an order or by accepting an offer Purchaser indicates that the Buyer agrees to these terms.

Article 2 Offers / deliveries
2.1 All offers are optional, unless otherwise expressly agreed in writing and these are only valid as long as stocks last.
2.2 The 'while stocks last' mentioned in

Article 3 Conclusion of contract
3.1 Direct Help Buyers can possibly refuse orders or certain conditions to the delivery. Direct Help will communicate this to the Purchaser within 10 days after the order.
3.2 If the Buyer places an order for the first time, apply an order limit of € 250.00.
Article 4 Payments and collection costs
4.1 Payment must be made within 14 days after the invoice date, according to agreement or invoice and within the time period set or invoice.
4.2 Payment shall be made without any deduction or set-off, on an account designated by the Seller.
4.3 Payment can be made by one of the ways specified during the ordering process. When paying by bank transfer, the date of payment, the date of crediting the account of Direct Help.

Article 5 Delivery and delivery time

Article 6 Prices
6.1 The prices for the products and services of its Direct Help in Euro including VAT and exclusive of administration, handling and shipping.

Article 7 Guarantee

Article 8 Inspection & Complaints

Article 9 Liability

Article 10 Retention

Article 11 Property rights

Article 12 Force Majeure

Article 13 Dissolution

Article 14 Miscellaneous
14.1 If any provision of these terms and conditions conflict with applicable law, it will expire and be replaced by a to be determined by Direct Help make similar provision.
14.2 The invalidity of any provision of these terms and conditions shall not affect the remaining provisions of these terms and conditions.
14.3 If Direct Help for shorter or longer time than not deviate from these conditions, Direct Help can still demand immediate and strict compliance with these conditions. Buyer can not derive any rights that directly help these conditions smoothly applies or has applied.

Article 15 Changes of address

Article 16 Applicable law and disputes
16.1 On each order, delivery, offer and agreement with Direct Help is exclusively Dutch law.
16.2 If a dispute arises between the Seller and that they can not solve themselves, the dispute will only be submitted to the competent court in the district in Amersfoort.
Article 17 Depot

17.2 Direct Help has the right to change these Terms and General Provisions.
